Achieving and maintaining board diversity, including gender diversity and the inclusion of independent directors, is both a statutory requirement and a governance best practice. In India, the Companies Act, 2013, and SEBI’s Listing Obligations and Disclosure Requirements (LODR) mandate the inclusion of at least one woman director and a certain proportion of independent directors on corporate boards. Despite these regulations, many companies, particularly Public Sector Undertakings (PSUs), struggle with compliance due to systemic inefficiencies and bureaucratic challenges .

Our research identifies key pain points, including tokenism in appointments, lack of a qualified talent pool, and resistance to change. While some progress has been made, with an increase in the average board size and the number of independent directors , gender diversity remains a significant challenge, with only 20% representation of women directors as of January 2024 .@EconomicTimes
